Terms of Membership
About these terms
These terms are the agreement between your business and us for a Tradie School membership. They cover the website at tradieschool.ai and the Tradie School app at app.tradieschool.ai.
Please read them before you join. If anything is unclear, ask us at legal@dfrnt.group before you pay.
Our Privacy Policy explains how we handle personal information. It is at tradieschool.ai/privacy. The “Privacy” section below is a short summary of it.
Parties
“We”, “us” and “Tradie School” means DFRNT Group Pty Ltd, ABN 21 679 198 317. We trade as Tradie School AI.
“You” means the business that holds the membership. If you are a sole trader, “you” means you.
The person who signs up does so for the business. By signing up, that person confirms that:
- they are 18 or older;
- they are allowed to sign the business up and agree to these terms for it; and
- the business operates in Australia.
Start
These terms apply from when you press “Finish sign-up” on tradieschool.ai/join.
Before you pay, you can design a business card with Smoko at no cost. The parts of these terms about Smoko, content, acceptable use and privacy apply to that. Nothing is charged until you choose to pay.
Your paid membership starts on the day your first membership payment goes through. These terms call that your start date.
Membership
A Tradie School membership includes:
- Courses. All nine Tradie School courses.
- Smoko. Our AI agent. Smoko drafts business material for you to check and approve, such as your website, ads, quotes and business card. See “Smoko” below.
- Community. The members’ community in the app. See “Community” below.
- Your business card. Print-ready files of the card you designed with Smoko, front and back, to download once you have paid.
Membership is for one business. You can add team members to your account up to the limit shown in the app. Each person uses their own login.
Smoko may have fair use limits, such as a number of drafts or messages in a period. The app shows any limit that applies to you. We set limits so the service keeps working for every member and so the cost of running the AI stays under control. We will not set a limit that stops you getting reasonable use of what you pay for. If we lower a limit in a way that significantly reduces what membership includes, the “Changes” section applies.
Membership does not include:
- money you spend with other businesses, such as ad spend on Google or Meta, domain names, printing or other software. You pay those suppliers directly, under their terms; and
- legal, tax, financial, licensing or engineering advice. The courses and Smoko give general business information.
Price
Membership costs $299 a month in Australian dollars. That price includes GST of $27.18.
We email you a tax invoice for each payment.
Owner’s Club has its own price. See “Owner’s Club” below.
Billing
We bill monthly in advance. The first payment is taken on your start date. After that we bill on the same date each month. If a month does not have that date, such as the 31st, we bill on the last day of that month.
Stripe processes our payments through the Stripe account of DFRNT Group Pty Ltd. By joining, you authorise us to charge your chosen card or wallet each month until your membership ends.
Your card details go straight to Stripe. We never see or store your full card number. Your card statement will show DFRNT-GROUP.
You can update your card, see past invoices and cancel in the billing portal. You can reach the billing portal through the link in every receipt email and, once you are signed in, from the membership area.
Failed payments
If a payment fails, we email you, and Stripe tries again over the following days. You can update your card in the billing portal at any time.
If the payment has not gone through 7 days after it was due, we may pause your access until it is paid. Your content is kept while access is paused.
If the payment has not gone through 30 days after it was due, your membership ends. We email you before that happens. You will not be charged for any month after your membership ends.
We do not charge late fees or interest.
Cancellation
You can cancel at any time in the billing portal. You can also email legal@dfrnt.group and we will cancel it for you. If your email reaches us before your next billing date, we will not charge you again, even if we act on it after that date.
When you cancel:
- you will not be charged again;
- your access continues to the end of the month you have already paid for; and
- we email you to confirm.
To avoid the next monthly charge, cancel before your next billing date.
Refunds. If you cancel because you change your mind, we do not refund the rest of the month you have paid for. This is our change of mind policy. It does not limit your rights under the Australian Consumer Law. You are entitled to a refund, in full or in part, if:
- we fail a consumer guarantee and the law gives you a refund (see “Consumer rights”);
- we end your membership for a reason that is not your fault (see “Termination”);
- we make a change that significantly reduces what membership includes, and you cancel because of it (see “Changes”); or
- an event outside our control stops us supplying membership for more than 14 days in a row, and you cancel (see “Liability”).
The business card files you downloaded are yours to keep after you cancel.
After membership
After your membership ends, you can sign in and download your content and outputs for 30 days. After that we delete them, except:
- copies in backups, which are deleted as the backups age out, within 35 days. Until then we do not use them; and
- records the law requires us to keep, such as invoices and payment records. We keep these for as long as the law requires, usually 5 years for tax records and 7 years for company financial records.
Our suppliers delete their copies under their own terms. For example, Anthropic deletes what we send it within 30 days, or keeps it for up to 2 years if its safety systems flag it.
If we host a website or form for you, it stays live for 30 days after your membership ends. Before that, we tell you how to move it.
Consumer rights
Nothing in these terms excludes, restricts or changes any right or remedy you have under the Australian Consumer Law, or under any other law that cannot be excluded. If a term seems to say otherwise, the law applies and the term only applies as far as the law allows.
You are buying for a business. You are still usually a “consumer” under the Australian Consumer Law for this membership, because it costs less than $100,000. So the consumer guarantees apply to you.
Our services come with guarantees that cannot be excluded. We must supply our services:
- with due care and skill;
- so that they are reasonably fit for any purpose you told us about, or that we said they would be fit for, and can reasonably be expected to achieve any result you told us you wanted; and
- within a reasonable time, if no time was agreed.
If we fail one of these guarantees, you are entitled to a remedy:
- Major failure. You can cancel and get a refund. The refund can take account of what you have already received. Or you can keep your membership and get compensation for the drop in its value.
- Failure that is not major. We must fix it at no cost within a reasonable time. If we do not, you can have someone else fix it and recover the reasonable cost from us, or cancel and get a refund for the unused part.
- Other loss. You can also claim compensation for any other loss or damage from the failure that was reasonably foreseeable.
Limit for business services. If our services are not of a kind ordinarily acquired for personal, domestic or household use, section 64A of the Australian Consumer Law lets us limit our liability for failing a guarantee to supplying the services again, or paying the cost of having them supplied again. Where that law allows it, we limit our liability in that way, so for some failures your remedy may be limited to this. The limit does not apply if you show that it would not be fair or reasonable for us to rely on it.
Smoko
Smoko is an AI agent, which is software, not a person. Smoko uses AI models from our supplier, Anthropic.
Drafts are suggestions. Smoko drafts material for your business, such as website pages, ads, quotes, emails and business cards. AI can get things wrong. A draft can contain mistakes, out-of-date information, or claims that are not true for your business. Treat every draft as a suggestion.
You approve before anything happens. Smoko does not publish anything, send anything to your customers, or spend your money unless you approve it first in the app. You can change or reject any draft.
You are responsible for what you approve. Once you approve a draft, it is your material and your business’s statement. Before you approve, check that it:
- is true and not misleading, including any claims about prices, warranties, reviews, experience, insurance or being licensed;
- shows the right business name, licence number and ABN;
- follows the laws and rules for your trade in your state or territory, such as licensing, advertising, home building contract and quoting rules; and
- follows the other laws that apply to your business, such as the Australian Consumer Law, privacy law and the Spam Act.
You stay responsible for holding the licences, registrations and insurance your work needs.
No promised results. We do not promise any search ranking, number of leads, calls, jobs, sales or revenue. Search engines, ad platforms and your customers decide those, and we do not control them. This does not limit the guarantees in “Consumer rights”.
Other platforms. If you use what Smoko makes on Google, Meta or another platform, that platform’s rules and fees apply. We are not responsible for its decisions, such as rejecting an ad or suspending an account.
Your sign-up card. When you design your business card during sign-up, what you type to Smoko and the business details Smoko needs are sent to Anthropic in the United States to design the card. We keep the card design, not the chat text. The names, numbers and contact details on your card come from the details you entered, not from the AI.
Content and ownership
Your content is what you give us. That includes your business details, logos, photos, reviews and price lists, what you type to Smoko, and what you post in the app.
Outputs are what Smoko makes for you from your content, such as your business card, website pages, ads and quotes.
Our materials are everything else we provide. That includes the courses, lessons, templates, card layouts, trade icons, Smoko, the app, the website and the Tradie School brand.
Who owns what
- You own your content.
- Outputs are yours, except any parts that are our materials (see “Using our materials”). Any rights we have in the rest of an output pass to you when it is made.
- Australian law may not give copyright to material made by AI, so we cannot promise you exclusive rights in an output. Other people using AI may get similar results.
- We own our materials, or have the right to use them.
Using our materials
Some outputs include parts of our materials, such as a card layout or a trade icon. You may use those parts as part of your outputs for your own business, during your membership and after it ends. You may not sell or give away our templates, icons or course material on their own, or register them as your trade mark.
You and your team may use the courses for your own business while you are a member. Do not copy, share or resell them.
What you let us do with your content
You give us permission to store, copy, format, display and send your content and outputs, but only to:
- run Tradie School for you, including through the suppliers named in our Privacy Policy;
- keep backups and keep the service secure; and
- meet our legal obligations.
This permission ends when your content is deleted (see “After membership”).
We will not use your business name, content or outputs in our advertising without your written permission. We may use information about how members use Tradie School to improve it, as long as it does not identify you or your business.
Your promise to us
You promise that you have the right to give us your content. For example, you own the photos you upload or have permission to use them, and the customer reviews you supply are real.
Acceptable use
When you use Tradie School, do not:
- make or publish anything false or misleading, including fake reviews or testimonials;
- advertise work you are not licensed or insured to do;
- copy another business’s name, logo, website or ads, or pretend to be someone else;
- send marketing to people who have not agreed to receive it, or collect people’s details without telling them why;
- put sensitive information about your customers into the app, such as health details or criminal records, unless you need it and they have agreed;
- upload anything illegal, harmful or hateful, or anything you do not have the right to use;
- try to break, overload or get around the app’s security or limits, or use automated tools on it except as we allow;
- share your login outside your team, or resell access to Tradie School; or
- use Smoko in a way that breaks the usage policy of our AI supplier, Anthropic, at anthropic.com/legal/aup.
If we reasonably believe something you have put on Tradie School breaks these rules, we may remove it or stop it being published. We will tell you what we removed and why, unless the law stops us. You can ask us to review the decision, and a person will look at it.
Community
The members’ community is a place for members to swap ideas and ask questions.
- Be respectful. No abuse, harassment or discrimination.
- Do not share other people’s personal information, including your customers’.
- Do not sell to or recruit other members without their agreement, and do not post ads unless we have said you can.
- Do not agree prices, rates, quotes or service areas with other members, even informally. That can break competition law.
- What members post is their own view, not advice from us. Check it before you rely on it.
- You are responsible for what you post. Other members can see it.
You can report a post in the app or at legal@dfrnt.group. We may remove posts that break these rules, and we tell the poster why. If a member breaks these rules repeatedly or seriously, we may remove them from the community. The “Suspension” and “Termination” sections apply to that.
Owner’s Club
Owner’s Club is a separate plan. It is by invitation only and costs $1,997 a month, GST included.
What Owner’s Club includes is set out in your invitation.
These terms apply to Owner’s Club, including the rules on billing, failed payments, cancellation and consumer rights. If your invitation says something different about what Owner’s Club includes, the invitation applies on that point. An invitation cannot take away your rights under the Australian Consumer Law.
You can move from Owner’s Club to standard membership. The change applies from your next billing date.
Changes
Price. We may change the membership price. We will email you at least 30 days before the change. The new price starts on your first billing date after those 30 days. If you do not want to pay the new price, cancel before then and you will not be charged it.
These terms. We may change these terms. We email you about every change before it applies. If a change could disadvantage you, we email you at least 30 days before it applies, and you can cancel before then without paying anything more. A change that only fixes wording or adds something new at no cost to you may apply sooner. We keep past versions and send them on request.
What membership includes. We will keep improving the courses and Smoko, so some features will change. If we make a change that significantly reduces what membership includes, we will email you at least 30 days before it applies where we can. If a supplier or the law forces a change sooner, we will tell you as soon as we can. You can then cancel, and we will refund the unused part of your paid month.
We will not change the price or these terms for a month you have already paid for.
Suspension
We may suspend all or part of your access if:
- a payment is overdue (see “Failed payments”);
- we reasonably believe you have seriously broken these terms, such as the “Acceptable use” rules;
- we need to, to protect the security of Tradie School, other members or the public; or
- the law, a court or a regulator requires it.
Before we suspend, we tell you why and give you a reasonable chance to fix the problem. If the risk is urgent or the law requires it, we may suspend first and tell you straight after. We only suspend as much as we need to, and we restore access once the problem is fixed. A person, not only an automated system, makes or reviews each suspension.
Termination
We may end your membership by email if:
- you seriously break these terms and do not fix the problem within 14 days of us asking you to; or
- the breach cannot be fixed, such as fraud or illegal use.
We may also end your membership if we close Tradie School or stop offering your plan to all members. We give you at least 30 days’ notice by email. In that case we refund the unused part of your paid month, and you can download your content as set out in “After membership”.
Liability
Everything in this section is subject to “Consumer rights”. Nothing here limits your rights under the Australian Consumer Law.
What we are responsible for. We are responsible for loss you suffer because we broke these terms or were negligent, where that loss was reasonably foreseeable.
What we are not responsible for. As far as the law allows, we are not responsible for loss to the extent it is caused by:
- content you approved or published, or your own business decisions, rather than our failure to take due care and skill;
- not getting results we do not promise, such as rankings, leads, sales or revenue;
- what other platforms you choose to use do, such as Google or Meta; or
- events outside our reasonable control, such as a major internet or supplier outage. If such an event stops us supplying membership for more than 14 days in a row, you can cancel and we will refund the unused part of your paid month.
Limit. As far as the law allows, our total liability to you in any 12-month period is limited to the membership fees you paid us in the 12 months before the claim. This limit does not apply to:
- your rights under the Australian Consumer Law;
- loss caused by our fraud or wilful misconduct; or
- death or personal injury caused by our negligence.
Claims by other people.
- If someone makes a claim against us because content you supplied or approved infringes their rights or breaks the law, you will cover our reasonable costs of that claim, to the extent you caused it.
- If someone claims that our materials, used as these terms allow, infringe their rights, we will deal with the claim and cover your reasonable costs of it.
- Each of us must tell the other promptly about such a claim and help with it reasonably.
Privacy
We handle personal information under our Privacy Policy at tradieschool.ai/privacy. In short:
- What we collect at sign-up. Your trade, role in the business, team size, turnover band, up to three things you want help with first, the jobs you do, business name, suburb and state, full name, email and mobile and, if you add them to your card in Smoko’s chat, your website and licence number. We do not ask for your ABN. We also keep campaign tags from the link that brought you to us and the card design you make with Smoko. We do not keep the chat text. If you do not give the required details, we cannot sign you up or make your card.
- Why. To sign you up, make your card, take payment, set up your app account, supply membership, contact you about your membership, learn which of our ads work, keep Tradie School secure, and meet our legal obligations.
- Cookies and your browser. The ts_utm cookie keeps campaign tags for 30 days. The ts_join cookie is a signed session cookie that keeps your sign-up together for 7 days. Your browser also keeps a copy of what you type in the sign-up form until you close the tab, so a refresh does not lose it.
- Sign-ups that do not pay. When you press “Finish sign-up”, we save your email, first name, trade, business name and campaign tags in our database, and send your sign-up details to Stripe as a customer record. This happens even if you never pay. We keep these records for 24 months, then delete them.
- Smoko. Your chats with Smoko and your business details are sent to Anthropic in the United States so Smoko can write drafts.
- Payments. Stripe processes payments and holds your sign-up details as your customer record. Your card details go only to Stripe. We never store your card number.
- Our suppliers and where they are. Supabase (our database) and Fly.io (runs the system that manages Smoko’s conversations) store data in Sydney. These suppliers handle data in the United States: Anthropic (AI models), Clerk (logins), Vercel (website and app hosting), Stripe (payments), DigitalOcean (runs Smoko’s code tasks) and Postmark (email). Stripe may also handle data in other countries where it or its suppliers work. We remain responsible for how these suppliers handle your information.
- Security. We take reasonable steps to protect your information from misuse, loss and unauthorised access.
- Access and correction. You can ask to see the personal information we hold about you, or to correct it. Email privacy@dfrnt.group.
- Complaints. If you have a privacy complaint, email privacy@dfrnt.group. We will confirm we have it within 5 working days and respond within 30 days. If you are not happy with our answer, you can complain to the Office of the Australian Information Commissioner at oaic.gov.au.
- Emails and texts. We send service emails about your membership, such as receipts, payment notices and notices of changes. These are part of membership. We only send marketing emails or texts if you agree. Every one says it is from us and has an unsubscribe link. We act on an unsubscribe within 5 working days.
Websites and forms we host for you. If we host a website or form for you that collects your customers’ details, you decide what it collects and why. We store and deliver those details only for you. You must give your customers any privacy notice the law requires.
Disputes
If you have a problem, email legal@dfrnt.group. Tell us what went wrong and what you would like us to do. We will reply within 10 business days and try to sort it out within 30 days.
If we cannot agree, either of us can suggest mediation with a mediator we both accept. We share the mediator’s fee equally. The Australian Small Business and Family Enterprise Ombudsman can also help small businesses with disputes.
Nothing in this section stops you contacting your state or territory fair trading office, the ACCC, the Ombudsman or, for privacy, the Office of the Australian Information Commissioner, or going to a court or tribunal. Either of us can ask a court for urgent orders at any time.
Governing law
These terms are governed by the laws of Queensland and the Commonwealth of Australia. The courts of Queensland can hear disputes about these terms. So can any other Australian court or tribunal that has jurisdiction. The Australian Consumer Law applies wherever you are in Australia.
General
- Whole agreement. These terms, the Privacy Policy and, for Owner’s Club, your invitation make up our agreement. This does not cancel anything we told you that the law holds us to.
- Transfer. We may transfer this agreement to another DFRNT Group company, or to a buyer of the Tradie School business, if they take on our obligations. We will tell you first, and you can cancel if you do not want to continue. You may transfer your membership with our written agreement, which we will not refuse unreasonably.
- Invalid terms. If a court finds a term unfair or invalid, that term is removed and the rest of these terms still apply.
- Notices. We send notices to the email address on your account. Please keep it up to date. You send notices to legal@dfrnt.group.
- Delay. If either of us does not enforce a term straight away, we can still enforce it later.
